Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of LandFlow's web application, iOS mobile application, and related services (together, the "Service"), provided by LandFlow ("LandFlow," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. The Service

LandFlow provides access to parcel data, property ownership information, public records, planning applications, and related geospatial and business data, sourced from government records and licensed third-party data providers. Data is provided for informational purposes and, unless otherwise stated, is not independently verified by LandFlow. You are responsible for independently confirming any information before relying on it for a transaction, legal, financial, or investment decision.

4. Our Obligations and Yours

This is a business contract between LandFlow as vendor and you as customer. Each party's obligations are as follows.

LandFlow's obligations

We will provide the Service in a professional and workmanlike manner, consistent with these Terms. We refresh data in the Service as often as reasonably practicable so that users have access to current information. Refresh timing depends on government sources, licensed data providers, and other third parties. We do not guarantee that any particular record is the latest available, complete, or free of error.

Nothing in this section creates a warranty. The disclaimers in Section 11 still apply.

Your obligations

You agree to:

  • Pay all fees when due for any paid plan you select.
  • Use the Service only as permitted by these Terms and applicable law.
  • Keep your account credentials confidential and notify us promptly of unauthorized use.
  • Independently confirm any information from the Service before relying on it for a transaction, legal, financial, or investment decision.
  • Be responsible for Your Content and for how you and anyone using your account use contact, mailing, and other data obtained through the Service.

5. Subscriptions and Payment

Certain features require a paid subscription. By subscribing, you authorize us (through our payment processor, Stripe) to charge your payment method on a recurring basis until you cancel. Subscription fees are described at the time of purchase and are non-refundable except as required by law or as we expressly state. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

Prices, plan features, and billing intervals are those shown at checkout or in an order we confirm with you, and they are subject to change. For self-serve individual subscriptions (including LandFlow Pro and LandFlow Pro Plus), we will grandfather the subscription rate in effect when you subscribed for as long as that subscription remains active and in good standing. Grandfathering ends if you cancel, let the subscription lapse, or change plans. After that, then-current pricing applies. Custom, team, and industry-professional pricing is as stated in your order or agreement with us, or as we notify you before a renewal.

We will give reasonable notice of a price change that applies to you, including by email or in-product notice. Unless required by law, prepaid fees are non-refundable, and we do not provide credits for unused time. Failed or overdue payments may result in suspension. You are responsible for applicable taxes, except taxes on our income.

6. Acceptable Use

You agree not to:

  • Use the Service to harass, stalk, or harm any person, or for any unlawful purpose, including violations of applicable fair housing, consumer protection, or telemarketing/mailing laws.
  • Scrape, resell, or redistribute data from the Service in bulk except as permitted by your subscription plan.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse engineer, decompile, or interfere with the proper functioning of the Service.
  • Use the direct mail or contact information features to violate the rights of, or applicable law with respect to, the individuals contacted.

7. Your Content

You retain ownership of the lists, notes, uploaded files, and other content you submit to the Service ("Your Content"). You grant LandFlow a license to host, store, and display Your Content solely as necessary to provide the Service to you. You are responsible for ensuring you have the right to submit Your Content, including any recipient lists used for direct mail campaigns.

8. Third-Party Data, Services, and Links

The Service incorporates data and functionality from third-party providers (including public record sources, data licensors, mapping providers, and communication services such as Stripe, Lob, Google, and Microsoft). We are not responsible for the accuracy, availability, or practices of third-party data or services, which may be subject to their own terms.

Third-party data may be delayed, incomplete, licensed on limited terms, or withdrawn. Features that depend on a third party (including payments, maps, mail fulfillment, authentication, and contact data) may be interrupted when that provider is unavailable or changes its terms.

The Service and our websites may contain links to third-party websites, products, or services. Those links are provided for convenience only. LandFlow does not control, and is not responsible for, the content, security, availability, backend systems, or practices of any third-party site or service. If you leave the Service or our site by following a link, you do so at your own risk and may be subject to that third party's terms and privacy policy.

A link, mention, logo, or integration is not an endorsement, sponsorship, or affiliation, and is not a warranty of the third party's products, services, or data. Your dealings with third parties are solely between you and them.

9. Contact and Mailing Information

Where available, LandFlow may display phone numbers, email addresses, and related contact fields obtained from licensed third-party data providers. This contact information is provided for informational purposes only. LandFlow does not independently verify, update, or guarantee the accuracy, completeness, ownership, or currency of any contact data. Coverage is incomplete: many individuals and entities will have no matching phone or email in our provider's database, and missing contact information does not mean the person has none.

Mailing addresses shown in the Service (including addresses used for direct mail) are derived from county assessor records, licensed parcel data, and related government or third-party data feeds. We do not source our mailing addresses by public record request. Like other data in the Service, mailing addresses are provided for informational purposes and may be incomplete, outdated, or inaccurate.

You are solely responsible for how you use contact and mailing information, including compliance with applicable telemarketing, do-not-call, CAN-SPAM, TCPA, fair housing, direct-mail, and other consumer-protection laws. Do not use this data to harass, stalk, or harm any person, or for any unlawful purpose. Contact lookups may be rate-limited or temporarily unavailable when provider quotas are reached.

Contact data is informational. Displaying a phone number is not permission to call or text it, and is not a representation that the number is legal to dial.

If you use numbers from the Service for telemarketing or similar outreach, you represent that you have your own FTC Subscription Account Number (SAN) and any required state registrations, that you scrub your calling lists on the legally required schedule, and that you will comply with the TCPA, Do Not Call rules, and related laws. LandFlow's SAN, if any, is for LandFlow's own access to registry data and does not authorize your outbound calling.

LandFlow may screen phone numbers against National, state, and DMA Do Not Call lists and known-litigator lists. Registry matches may be shown with a warning; known-litigator numbers may be withheld. That screening is a convenience. It can miss numbers, go stale, fail open if a provider is unavailable, and does not cover consent, wireless autodial rules, reassigned numbers, calling hours, or your own internal do-not-call list. It does not replace your compliance program and does not make LandFlow a telemarketer on your behalf. Showing a number is not a representation that it is legal to dial.

10. Intellectual Property

The Service, including its software, design, and compiled datasets, is owned by LandFlow and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you.

11. Disclaimers

THE SERVICE AND ALL DATA PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. LANDFLOW DOES NOT WARRANT THAT DATA IN THE SERVICE IS COMPLETE, CURRENT, OR ERROR-FREE.

LandFlow provides access to data and tools we believe are useful for professional real estate work. That is not a warranty. We do not warrant that the Service will meet your requirements or that results from using it will be accurate, profitable, or fit for a particular transaction.

12. Service Availability

We do not guarantee that the Service will be available at any particular time, or that access will be uninterrupted, timely, or error-free. The Service may be unavailable because of maintenance, updates, outages, failures of third-party providers, events beyond our reasonable control, or other causes. We are not liable for any loss, delay, or cost caused by unavailability of the Service or of data within it.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDFLOW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE. LANDFLOW'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID LANDFLOW IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

The limitations in this section apply to all claims, whether in contract, tort (including negligence), strict liability, or otherwise — including claims arising from a data breach, unauthorized access, loss or corruption of data, security incident, or unavailability of the Service — even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

14. Security Incidents

We use safeguards designed to protect the Service, but no system is completely secure. If we become aware of unauthorized access to personal information we hold about your account, we will take steps we reasonably consider appropriate, which may include notice to you where required by law.

You are responsible for the security of your account, devices, and credentials, and for access you grant to others. If a security incident, unauthorized access, or data loss results from your acts or omissions (including sharing credentials, failing to keep access secure, uploading malicious content, or using the Service in violation of these Terms), you are responsible for the resulting harm, costs, and claims. You will indemnify, defend, and hold LandFlow harmless from those claims to the maximum extent permitted by law.

15. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe termination is necessary to protect the Service or other users.

16. Electronic Communications

By creating an account or using the Service, you consent to receive electronic communications from us. These include (a) transactional and legal notices (such as account, billing, security, and updates to these Terms or our Privacy Policy) sent by email, in-product message, or posting on the Service, and (b) product updates and marketing communications about LandFlow.

You agree that electronic notices satisfy any legal requirement that communications be in writing. We may use the email address on your account for these purposes. You may opt out of marketing emails using the unsubscribe link in those messages or by contacting us. You cannot opt out of transactional or legal notices while you have an account. Keep your email address current.

17. Independent Contractor; No Joint Venture

LandFlow is an independent vendor providing the Service to you as a customer. These Terms do not create a partnership, joint venture, franchise, employment, or agency relationship. Neither party has authority to bind the other or to make representations on the other's behalf. You are not a LandFlow employee, partner, or co-venturer.

18. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

We will post updated Terms on this page. Notice of material changes may include email to the address on your account or an in-product message. Except where a longer period is required by law, changes take effect on the date we specify in the notice (or, if none, when posted). If you do not agree to the revised Terms, you must stop using the Service and cancel any subscription.

19. Governing Law; Venue; Waivers

These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws principles, unless otherwise required by applicable law.

You and LandFlow agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of Idaho, and each party consents to personal jurisdiction and venue in those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND LANDFLOW EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU MAY BRING CLAIMS AGAINST LANDFLOW ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

20. General

Entire agreement

These Terms, together with any order or plan you accept and our Privacy Policy, are the entire agreement between you and LandFlow regarding the Service and replace all prior or contemporaneous agreements, proposals, and representations, whether written or oral, relating to the same subject matter. If we have signed a custom or industry agreement with you, that agreement controls over these Terms if there is a direct conflict.

Severability

If a court finds any provision of these Terms unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full effect.

Waiver

If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later, or to enforce any other provision. Any waiver must be in writing and signed by LandFlow to be effective, and applies only to the specific instance described.

Amendments

These Terms may be modified only (a) by LandFlow posting revised Terms as described in Section 18, or (b) by a written amendment signed by LandFlow. No oral statement or course of dealing amends these Terms.
